  • 1.  Board Meeting Frequency and Length

    ​I'm interested in hearing about how often the Board meets in other private radiology practices. We are a shareholder owned practice with 133 radiologists and 27 APPs.  We have a 13 member Board which includes an elected President and an elected VP.  We meet three times a month.  One session is an open session in the evening with a closed session that follows, and the other two monthly meetings are closed session meetings.  In total, this amounts to about 6 hours of meeting time per month.  We also have other Board committees that meet throughout the month that make operational, financial and personnel recommendations to the Board.  The frequency of Board meetings, total hours in Board meetings, and number of Board members are all quite a bit higher than in practices of other specialties where I've worked. 

    If you work for a privately owned practice, I'd love to get answers to the following questions:

     - number of providers in your practice
     - number of shareholders in your practice
     - number of people on your Board
     - frequency of Board meetings
     - average number of hours in Board meetings per month or quarter
     - if you have an open session, time of day this is held
     - average amount of Board member prep prior to each meeting (ie, do members read materials ahead of time or is everything presented in detail)
     - average number of days prior to Board meetings when meeting materials come available.

    All shareholders, currently 6 non-voting class
    9 Board members
    Board meets monthly
    Sessions are technically open, but this opportunity is virtually never taken advantage of
    Prep work/lead time varies with the nature of the agenda.  Bulk of the Board agenda consists of reviewing the work and recommendations of various committees, and those materials are typically available following committee meetings.  Other materials are typically circulated in advance, though there isn't a set time frame.

    Most of the real work happens in the committees, and every radiologist is expected to serve on at least one committee.  Committees are typically chaired by a Board member.

    In my experience, a significant factor to consider is how much executive authority is delegated to the lead physician, and how much is retained by the Board.  In this group, the lead physician has lots of authority, and therefore the Board doesn't have to meet as often.  I have worked in other groups where the lead physician has almost no authority, and therefore the Board has to meet much more frequently.

    Interesting topic for me also.  In summary:

     

    1.       33 Rads

    2.       27 shareholders, 5 employed physicians who do not attend non-clinical meetings. 

    3.       All shareholders are board members.

    4.       Executive Committee of 8 physicians empowered to make many decision on behalf of the group.  President has limited power, but is very persuasive for the Exec Committee. 

    5.       Exec Committee meetings once a month; after working hours; about 2-3 hours.  Meets in conjunction with Finance Committee

    6.       Board meets approx. every other month.  Open meeting for final voting on issues that have been previously vetted by Exec or other Committees. 

    7.       Other Committee that meet monthly are Operations (most clinical, but discuss staffing, scheduling, etc.)  Chaired by Exec member. 

    8.       Finance Committee meets with Exec, then non Exec are excused.  Focus on cash flow, accounting, financial statements, budgets, retirement funding, major purchases.

    9.       Marketing, QI and IR Section meet either every other month or quarterly.  Report back to board with issues.  Some but not all chaired by Exec members. 

    10.   Estimate there are about 9-10 hours of meeting each month.  All meetings take place after working hours.  Only President and select few get time off to serve as officers; Treasurer and Secretary get a few days.

    11.   COO attends every meeting, which is nearly one per week or 4+ per month.  Nice long 12 hour days.

    12.   There is a "pre-finance" meeting that is about 2 hours prior to finance meeting to go over RCM and finance matters held during working hours.  Rads attend via conference call. 

    13.   Minutes are distributed to all shareholders for all meetings. 

    14.   Occasional "ad hoc" meetings of controversial comes up.

     - if you have an open session, time of day this is held – any SH can attend Board meetings. Closed sessions occasionally  Meetings start at 6pm on scheduled date.
     - average amount of Board member prep prior to each meeting (ie, do members read materials ahead of time or is everything presented in detail) – 1 hour
     - average number of days prior to Board meetings when meeting materials come available. – 3-5 depending on the volume of information.

    26 radiologists - 16 shareholders
    9 member board that meets monthly from 1.5 to 3 hours depending on the agenda.  All meetings are in the evening.  We have closed sessions every once in a while for sensitive issues.  The administrative team creates the board package that goes out three days to five days before the meeting.
    Committees - Executive, Finance, and Operations committees make recommendations to the board.  Finance meets every other month for about an hour after work.  Operations meets monthly for an hour or two after work.  Executive Committee meets for one hour before work twice a month.

    6. if you have an open session, time of day this is held: NA – We have quarterly shareholder meetings in addition to BOD meetings
    7. average amount of Board member prep prior to each meeting (ie, do members read materials ahead of time or is everything presented in detail)  30 – 45 Minutes
    8. average number of days prior to Board meetings when meeting materials come available. BOD Packet (Agenda, Updates, Attachments) sent 2 days before.  We have a separate BOD e-mail group where other communication occurs..
